Henry Bosch Workshop A Success

Workshop conducted by Henry Bosch described as an outstanding success

A recent one-day corporate governance workshop conducted by Henry Bosch at Century Inn in Traralgon has been described by GippsTAFE and Innoven, as an outstanding success.

Henry Bosch is the former chairman of the National Companies and Securities Commission and was the chairman of a National Working Group on Corporate Practices and Conduct.

Since 1972 Mr Bosch has served on over 30 boards of companies and other organisations in commerce, industry, education and government.

He has advised many boards and has written and spoken extensively on all aspects of corporate governance.

According to Mr Bosch, there is no difference between running a business in a regional area like Gippsland and a metropolitan area.

He said that there are basic rules used to run a business that are applicable anywhere. "There is no single right way to run a business, it depends on its size, complexity and ownership," said Mr Bosch.

"The average amount of time that a director spends on his duties averages about 23 to 24 days out of a year, of course the larger the company is, the more time you may have to spend there".

"Up to a point, being on many boards at the one time can be valuable. It depends on what workload a director has. No-one should be on the board of more than three major companies at one time."

Henry Bosch led a detailed discussion on the role and responsibilities of directors using practical examples from his extensive experience.

"Corporate Governance has become very important as the public have become more aware, in the last 10 years or so, of how a company should be run," said Mr Bosch.

"There will definitely be as much change in corporate governance in the next 10 years as there has been in the last 10 years. Businesses now regularly self audit, are management dominant and are accurate with accounts and these qualities and processes will only expand and improve."

The workshop covered topics such as the role and responsibilities of a director, the relationship of a director to shareholders, techniques for Board effectiveness, corporate governance issues for directors, how Board’s make decisions, teamwork and harmony on boards, director succession planning, director induction, the role of the chairman, the information a director needs, methods of evaluating BOD performance and the role of the CEO and non-executive directors.

Mr Bosch said he enjoyed his time in Gippsland very much. "Today I have experienced a more diverse group of people than usual. Being here gives me fresh ideas and new perspectives. It’s a pleasure," said Mr Bosch.

"I hope that participants in today’s program can go back to their businesses and make their board of directors more effective in some way. Today I shared personal experiences of my years working on the boards of companies."
